This program is designed to provide executive-level human resource leaders with a comprehensive understanding of governance principles, focusing on their role in engaging with company directors, establishing effective people committees, and reporting to the Board on workforce-related issues. The course will also cover the responsibilities and functions of the Board of Directors in relation to HR matters.

This programme is limited to 25 professionals and will run over two consecutive days:

  • Thursday 5 December 9:00am-5:30pm
  • Friday 6 December 9:00am-5:30pm

The course will be delivered through a combination of expert trainers, case studies, group discussions, and interactive workshops.

Participants will have access to course materials, including presentations, handouts, and resources for further reading.

  • Understand the principles of corporate governance and their relevance to human resource management
  • Comprehend the role and responsibilities of the Board of Directors in HR governance
  • Develop strategies for effective engagement with company directors
  • Learn how to engage with governance to shape your own and the organisation’s development and impact
  • Learn how to establish and manage a people committee within the organisation
  • Gain insights into best practices for reporting HR-related matters to the Board
  • Create connections with others in the programme cohort for ongoing professional support

  • Introduction to governance and HR
  • Role of the board in HR governance
  • Engaging with company directors
  • Governance and HR case studies
  • Health, safety and wellbeing governance
  • Establishing a people committee
  • Reporting to the board on HR matters
  • Developing your governance action plan 

Who is this course for:

Executive-level human resource managers with responsibilities for supporting governance and strategic decision-making within their organisations. Participants should have a foundational understanding of HR management principles and corporate governance concepts.

Cancellation Policy

An appropriate substitute participant is welcome any time before the course starts. Please let us know the replacement's name. If you have booked on a member price and a non member is to attend in your place you will be invoiced for the difference in price.

A refund of fees will be made if a cancellation is received in writing at least 10 working days prior to the commencement of the course.

Regrettably, no refunds can be made for cancellations received after this date and you are liable for the full cost of attendance at the course.

Presenter Details

Gráinne Troute

Gráinne is a Chartered Fellow of the Institute of Directors and a director of listed companies Tourism Holdings (THL), Summerset Holdings and Investore Property. She is a board member of Duncan Cotterill and Chair of Montana Group. Prior to her governance career, Gráinne was General Manager, Corporate Services at SKYCITY Entertainment Group and Managing Director of McDonald’s Restaurants (NZ). Her early career was in human resource management and that perspective continues to inform her governance roles. Gráinne has also spent many years as a trustee and Chair in the not-for-profit sector, including chairing Tourism Industry Aotearoa (TIA) and Ronald McDonald House Charities (NZ).

Francois Barton

Francois has been CEO of the Forum since 2015. Prior to joining the Forum, Francois established and ran WorkSafe NZ’s national programme team, which has delivered major safety campaigns in construction, agriculture, forestry and manufacturing. He previously held roles at MBIE, and at the Department of Labour, where he was part of the team that established the Business Leaders' Health and Safety Forum in 2010.

Gillian Brookes [Programme Facilitator]

Gillian Brookes, Chartered Fellow Member of HRNZ, runs a small consultancy, focused on leading for a better future of work. She specialises in workforce strategy and flexible work. Earlier in her career she held various senior HR leadership roles in both the UK and New Zealand. Gillian is the author of the HRNZ Executive Guide - Governance, published as a member resource in April 2024. Melissa Clarke-Reynolds, ONZM

Melissa Clark-Reynolds, ONZM became a Futurist and Professional Director after 25 plus years’ experience as an entrepreneur and CEO of a number of Technology companies. She was awarded the ONZM for Services to Technology in 2015. Melissa is a director of Atkins Ranch Lamb Wētā Workshop and Alpine Energy, as well as Daffodil Enterprises. In 2022 she worked with rural communities to provide a report to Muka Tangata on the future of work for the primary sector. Melissa works with companies to execute transformational strategies, through futurecentre.nz. A sought after speaker globally on the future of food, work and technology, she tweets as @HoneyBeeGeek.

Una Diver

Una leads EY’s New Zealand Reward practice, consulting on clever, practical reward and remuneration solutions for Directors, executives and employees at all levels. She was previously Director of New Zealand’s largest private sector remuneration consulting practice, until its acquisition by EY. Prior to starting this business, Una was New Zealand Head of HR for two large multinational pharmaceutical companies. Una holds an MBA (Beta Gamma Sigma honours) from the University of Auckland and undergraduate degrees in Commerce and Psychology from the University of Canterbury.
